The filed complaint alleges that defendants made false statements and/or concealed that: (1) that the Company was experiencing slower-thananticipated pull-though from a wholesale customer predominantly due to expiry of inventory; (2) that, as a result, the Company had overstated its revenue; (3) that the Company did not have effective internal controls and procedures over financial reporting as to sales of PEMFEXY, Eagle Pharmaceuticals' metabolic inhibitor product; and (4) as a result of the foregoing, defendants’ positive statements about the Company’s business, operations, and prospects were materially misleading and/or lacked a reasonable basis.
